奥思集团(01161.HK)拟4500万港元收购一间美容公司
格隆汇 3 月 29日丨奥思集团(01161.HK)公告，于2021年3月29日，买方Water Oasis Group (BVI) Limited(本公司全资附属公司)、卖方Billion Profit Investments Limited及担保人订立买卖协议，据此，买方同意收购及卖方同意出售目标公司蔓时哲控股有限公司全部已发行股本，基本代价为4500万港元，须视乎情况及可予调整。
目标集团从事两项主要业务：(i)于香港提供水疗、医学美容及美容服务("服务业务")；及(ii)于中国、香港及澳门销售分销产品("产品业务")。就服务业务而言，目标集团提供(i)传统美容疗程，包括针对身体各个部位的护理，例如面部疗程、颈部疗程、眼部疗程、手部疗程及身体疗程，以及水疗及按摩服务；及(ii)医学美容服务。目标集团以"FRéDéRIQUE"、"Medici-Laser"及"AesMedic"品牌经营六间水疗中心，及以"32°C"品牌经营一间店舖。目标集团获授权于香港、澳门及中国根据分销协议出售分销产品以进行产品业务。分销产品主要涵盖皮肤护理、身体护理及头发护理。
于香港，目标集团透过美容产品销售专柜出售产品。于中国，其于江苏省苏州市透过获授权在线分销商及自有的在线商店进行销售，亦透过离线分销商及自营专柜进行销售。
集团主要于香港、澳门及中国从事经营美容中心、水疗中心及医学美容中心以及分销护肤品。董事会认为，倘若于2019年下半年并无发生社会运动及于2020年并无爆发2019冠状病毒病，则不会促成按基代价进行收购事项契机。收购事项是扩大活跃客户群、获得一批技术熟练的专业人员及增加店舖数量战略举措。此外，于集团及目标集团整合业务后，预期收购事项可缔造协同效益，例如节省成、营销和交叉销售。
董事会认为，目标集团于2019年及2020年上半年财务表现受挫，主要是由于香港的社会运动及其后爆发2019冠状病毒病不利影响，并非目标集团管理层所造成，亦非属经常性质。
