華電國際電力股份(01071.HK)擬15億元收購蒙東能源及福源熱電餘下股權
格隆匯3月25日丨華電國際電力股份(01071.HK)發佈公吿，於2021年3月25日，公司與轉讓方建信金融訂立股權收購協議。據此，公司同意收購，而轉讓方同意按代價人民幣15億元（可予調整）出售標的公司（蒙東能源及福源熱電）股權。代價將由公司按發行價格每股代價股份人民幣4.61元向轉讓方發行6,508,376股（可予調整）代價股份；及向轉讓方發行總額為人民幣14.7億元（可予調整）的代價可換股債券予以支付。
建議收購完成後，標的附屬公司將成為公司全資附屬公司，轉讓方於公司的合共持股比例將為3.19%（假設代價可換股債券已按初始轉股價格每股換股股份人民幣4.61元悉數轉換為換股股份）。
蒙東能源為2008年5月於中國註冊成立的有限責任公司。於本公吿日期，建信金融持有其45.15%股權，公司持有其54.85%股權。蒙東能源主要從事風力發電項目的投資、發展、營運及管理。
福源熱電為2012年3月於中國註冊成立的有限責任公司。於本公吿日期，中銀金融持有其36.86%股權，公司持有其63.14%股權。福源熱電主要從事天然氣熱電聯產項目的投資、發展及管理。
公司表示，集團通過實施市場化債轉股，降低標的附屬公司資產負債率，鞏固集團抗風險能力。本次代價股份的定價及代價可換股債券的初始轉股價格較當前公司股價溢價較高，充分保護了公眾股東的利益。在代價可換股債券轉股成功以前，公司按年均2-3%支付代價可換股債券利息，享有較低的融資成本。建議收購完成後，集團將通過引入兩家戰略投資人，進一步優化股權結構，加強公司治理水準。
