格隆匯 3 月 22日丨結好控股(00064.HK)發佈公吿,2021年3月18日,賣方(Steppington Holdings Limited,結好金融的直接全資附屬公司)與買方(結好發展,公司的間接全資附屬公司)訂立買賣協議,據此,賣方同意出售待售股份(相當於目標公司全部已發行股本),代價為4.57億港元(可予調整)。目標集團的主要資產為該物業。

賣方持有目標公司(即NobleNet Limited)的100%已發行股本,因而持有捷田的100%已發行股本,捷田則為該物業的登記擁有人。該物業目前由集團佔用作為主要營業地點。目標公司為一間於英屬處女羣島註冊成立的有限公司,其唯一附屬公司為捷田。捷田的主要資產為該物業,現時的業務為向集團出租該物業。 該物業為位於香港皇后大道中183號及永樂街33號新紀元廣場中遠大廈10樓的辦公室單位。集團一直積極物色投資優質物業的機會,以增強集團的投資組合。該交易將為集團提供良機,使其於該物業的權益由72.99%增至100%。
