聯合集團(00373.HK)擬5.898億港元收購約9.91%新鴻基股份
格隆匯 3 月 19日丨聯合集團(00373.HK)公吿，於2021年3月19日，買方AP Emerald Limited(公司間接全資附屬公司)與賣方Asia Financial Services Company Limited訂立購股協議，據此，買方同意購買而賣方同意出售待售股份(相當於新鴻基於公佈日期已發行股份總數約9.91%)，代價為5.898億港元。
董事知悉，以每股待售股份3.00港元為條款代價(i)較於購股協議日期每股新鴻基股份收市價3.64港元折讓約17.6%及(ii)較於2020年12月31日每股新鴻基股份經審核綜合資產淨值11.4港元折讓約73.7%。就達成收購事項目的而言，票據轉讓構成代價一部分，且公司注意到，預期集團不會自票據轉讓確認任何重大收益或虧損。集團核心業務包括物業投資及發展以及金融服務，連同物業管理及護老服務。
新鴻基及其附屬公司從事提供金融服務業務，有關業務為集團核心業務一。董事認為，收購事項為集團提供向新鴻基作出額外投資良機，符合集團將管理及財務資源集中於其核心業務既定策略，且實際上很難於市場上收購此類對新鴻基股份整體持股(約佔新鴻基於公佈日期已發行股份總數9.91%)。
於完成後，公司於新鴻基實益權益將由現時62.83%增至72.74%，這將進一步鞏固集團於新鴻基股權地位。此外，考慮到新鴻基以往財務表現，預期集團財務表現將得到加強。
