美圖公司(01357.HK)已制定現有合約安排以行使控制權及享有美圖網產生的經濟利益
格隆匯3月17日丨美圖公司(01357.HK)公吿，由於中國適用法律及法規限制電信行業（包括經營移動應用及網站、提供在線視聽節目服務、經營手遊及提供互聯網信息服務）的外資擁有權及限制外商投資者進行增值電信服務及在線視聽節目服務，故集團透過美圖網於中國經營若干業務。集團已制定現有合約安排，旨在允許公司對美圖網業務營運行使控制權及享有美圖網產生的經濟利益。根據現有合約安排，美圖網的代名人股東為吳澤源先生（擁有51%權益）及蔡舒婷女士（擁有49%權益）。
由於美圖網的其中一名代名人股東由蔡女士變更為廈門鴻天（一家由吳先生及陳女士分別擁有99%權益及1%權益的公司），於2021年1月，美圖之家、美圖網及美圖網的代名人股東訂立新合約安排，現有合約安排同時終止。根據新合約安排，美圖網的代名人股東為吳先生（擁有51%權益）及廈門鴻天（擁有49%權益）。股權轉讓的代價為廈門鴻天向蔡女士支付人民幣1.00元。
自美圖網與睿晟天和股東於近三年前訂立投資協議以收購睿晟天和以來，睿晟天和的業務發展方式令其有必要考慮其他融資形式，以有效執行未來業務發展計劃，包括上文所述建議多元化發展。公司正與少數股東討論並初步認為睿晟天和尋求其股份於中國國內證券交易所上市對睿晟天和的未來發展有益（及因此符合睿晟天和全體股東的利益），因此有必要保留現有國內業務。如睿晟天和公吿所披露，公司及少數股東已採取具體步驟進行重組，以促進睿晟天和的股份於中國國內證券交易所單獨上市。於本公吿日期，並無就睿晟天和潛在單獨上市採取具體行動。
此外，於2021年3月，俞敏洪先生、蔡舒婷女士及米林隆領投資有限公司（分別擁有大街境內目標公司4.04%、3.44%及2.67%股權）向美圖網轉讓所有彼等於大街境內目標公司的股權，藉以將其於大街境內目標公司的股權比例由約75.37%增加至約85.52%。大街股權轉讓不涉及任何代價。VIE協議已終止，而相關股東已訂立一系列新VIE協議，其條款乃沿襲自VIE協議，但不包括日期的變動及該等協議的訂約方。
