愛帝宮(00286.HK)：擬根據第一份認購協議發行認購股份 聯席主席朱昱霏認購2.49億股
格隆匯 3 月 14日丨愛帝宮(00286.HK)公佈，此前若干公吿披露，涉及收購深圳愛帝宮母嬰健康管理有限公司88.5184％的股權；及根據特別授權認購新股份。
根據第一份認購協議，於認購人A及認購人B已妥為收取其各自有權收取的獲利能力付款並在扣除所得税及相關開支後，認購人A及認購人B須各自使用現金代價以認購第一次認購股份。完成第一次認購事項須待，除其他事項外，認購人A及認購人B已收取彼等各自有權收取的第四期款項及第五期款項(視情況而定)。
認購人A和認購人B將第四期及第五期款項分別用於認購最多222,006,334股和42,093,632股股份(統稱“認購股份”)。相關股份的發行和配發預計將於2021年6月或之前完成。
根據第一次認購協議中條款，將原發行給認購人A及認購人B的股份現發行給指定並由公司同意的朱昱霏、李軍等23位人士(彼等人士為集團員工)。
發行完成後，公司的股權結構變化如下：
聯席主席兼執行董事張偉權為Champion Dynasty Limited的唯一董事，並擁有其全部已發行股本。根據日期為2020年1月8日的相關權益披露通知，Golden Full Holdings Limited持有Champion Dynasty Limited的500,000,000股股份的抵押權益。
三泰富環球增長獨立投資組合基金以投資基金身份持有股份。
值得注意的是，發行給朱昱霏合計249,151,755股股份包括(i)作為認購方A的第一批認購股份；(ii)認購人B指定並經公司根據第一份認購協議同意發行給認購人B的部分股份。朱昱霏乃公司執行董事、聯席主席。
朱昱霏，李軍，杜麗娟，朱榮，劉瓊宇，劉勁軍，李傑，陳潔珊，李淑芳，夏迎，殷延芬，胡翠菲，黃經玲，洪友盛，林建瑜，劉永晶，劉珂珂，肖俐垚，林茵子，嚴歡，宗可慶，朱雯及唐義雄是集團的員工。
