格隆匯 3 月 8日丨佳寧娜(00126.HK)宣佈，於2021年3月8日，公司擬向不少於6名承配人配售最多1.26億股新股，每股配售價為0.45港元，較3月8日收市價折讓10%。最高所得款項總額將約為5656.9萬港元。
於2021年3月8日，公司擬向少於6名投資者發行最多本金總額7542.53萬港元的可換股債券，最多可獲發行1.26億股轉換股份。
於2021年3月8日，公司擬向認購人馬介璋及馬介欽分別發行9428.16萬股，每股認購價均為0.45港元，兩人應付總代價為4242.67萬港元，合計8485.34萬港元。
於股份配售完成後及假設1.26億股配售股份已由配售代理配售，認購人及其一致行動人士於公司的股權將由公司已發行股本的約49.69%減少至約45.17%。
於股份認購完成後，認購人及其一致行動人士於公司的股權將由公司已發行股本的約45.17%增加至約51.75%。假設股份配售及可換股債券配售並未完成，於股份認購完成後，認購人及其一致行動人士於公司的股權將由公司已發行股本的約45.17%增加至約56.25%。監於股份認購令認購人及其一致行動人士持有的公司投票權由於股份認購完成日期(包括當日)止12個月期間內的最低持股比例提高2%以上，除非授出清洗豁免，否則認購人須根據收購守則規則26.1就認購人及其一致行動人士尚未擁有或尚未同意收購的所有已發行股份及其他證券提出強制全面收購建議。
