僑雄國際(00381.HK):聯營公司擬參與開發租賃物業
格隆匯 3 月 8日丨僑雄國際(00381.HK)公佈,有關公司收購USO Management & Holding Co Ltd("聯營公司")股權事項。於2021年3月8日,公司附屬公司Trinity Force Investments Limited("乙方")、聯營公司股東Green Luxuriant Group Investment Limited("甲方")及聯營公司股東Lanselota Polu("丙方")訂立了股東備忘錄。
根據股東備忘錄,甲丙雙方同意並將就其所持有的餘下股份的所有投票權按乙方指示作出投票,惟(i)根據法例或按照聯營公司的組織章程細則規定只須簡單多數票或已發行股本總額的簡單多數票;及(ii)股東並無認購權的資本增加;及(iii)並不符合或將導致違反股東協議內所載協議的聯營公司股東決議案除外。
公吿稱,由於聯營公司沒有單一股東能擁有聯營公司控制權,對營運決策執行存在限制,訂立建議安排旨在賦予公司對聯營公司的經營及其業務的控制權利以及享有該等業務經濟利益的權利。
此外,聯營公司與Plantation Construction & Development Co Ltd("開發公司")訂立合作開發協議,據此,聯營公司及開發公司將共同開發租賃物業。租賃物業預期將主要開發住宅物業和酒店等商業用途,預計建築面積約為30萬平方米,其中包括1,000幢住宅別墅、高級酒店賭場及配建公共設施。別墅每幢約為300平方米,根據現時當地房屋價格,每平方米約為2.1萬港元,如1,000幢住宅別墅落成後估計總價值約為60億港元。受新冠疫情影響,高級酒店賭場及頭100幢住宅別墅預計將於2021年8月開工。訂立建議安排後,租賃物業的開發將會為集團帶來可觀的經濟利益。
