佳兆業健康(00876.HK)擬成立合營 進行鄉村振興、建設及發展項目
格隆匯 3 月 3日丨佳兆業健康(00876.HK)公吿，於2021年3月3日，公司與上海新行訂立有關(其中包括)成立從事該項目項目公司合作協議。成立項目公司後，項目公司將由上海佳煦(公司全資附屬公司)及伏虎合作社(上海新行指定實體)分別擁有80%及20%權益。"該項目"指於伏虎村進行鄉村振興、建設及發展項目。
預期項目公司將作為公司非全資附屬公司入賬，而其財務業績則將綜合入賬至公司綜合財務報表。項目公司股東承諾總注資將為人民幣1.5億元，其中(i)人民幣1.2億元由公司承諾以現金方式注資及(ii)人民幣3000萬元將由上海新行承諾以抵銷為集體用地土地使用權而應付部分代價方式注資。
集團主要從事義齒業務及康養服務業務。集團的經營策略為進一步多元化其業務，以進一步提升股東價值。集團與金鼎湖巨龍旅遊開發(北京)有限公司擬共同發展位於中國北京市的密雲區金鼎湖，為結集農村發展、康養業以及金融信託業的康養項目，其旨在將該地區轉型為京津冀地區的農村振興示範區及高端康養度假區。
徐行鎮為上海嘉定區新城鎮，為嘉定科技創新中心核心功能區及張江高科技園區重要部分。作為集團進一步拓展康養業務及加強其於中國的投資組合的一項舉措，集團訂立合作協議，旨在振興及改造伏虎村為擁有優良基建設施和全新農村形象的馳名農業康養村。
公司預期，合作協議項下交易將透過利用及動用上海新行及集團資源及優勢產生協同效應。上海新行將主要負責提供該地區的土地資源及發展基礎設施，而公司將主要負責該項目的整體規劃及落實。
