新加坡美食控股(08496.HK)否認花紅指控 明日復牌
格隆匯2月9日丨新加坡美食控股(08496.HK)發佈公吿，公司謹提請其股東及潛在投資者注意，招股章程披露的將於截至2020年6月30日止年度確認的預期上市開支約200萬新加坡元與年報披露的於截至2020年6月30日止年度綜合全面收益表確認的實際上市開支約360萬新加坡元之間存在若干差異。
預期與實際上市開支之間的差異乃由於公司支付予一間新加坡外聘顧問公司酌情花紅93萬新加坡元，外聘顧問向集團提供的服務包括管理顧問、有關集團業務精簡及財務規劃的諮詢以及為上市提供介紹及推薦建議或專業人士。
於2021年1月13日，董事會接獲一封函件，聲稱在支付100萬新加坡元予外聘顧問的同時，該款項被重新轉回予執行董事，以及外聘顧問或其聲稱的相關方並未保留付款。為應對該等指控，董事會於2021年1月18日舉行會議討論該等指控。於會議上，執行董事否認了全部該等指控。
雖然獨立非執行董事已經向公司核實付款93萬新加坡元，但於本公吿日期，獨立非執行董事認為，彼等在此時無法就該等指控形成任何明確觀點。於2021年2月5日，大多數獨立非執行董事議決成立一個由獨立非執行董事組成的獨立董事委員會，以對該等指控進行獨立調查。執行董事已放棄就上述事宜討論及投票。公司將於獨立調查完成之後儘快另行刊發公吿。
此外，公司股票將於2021年2月10日復牌。
