格隆匯 2 月 4日丨快手-W(01024.HK)發佈公吿，公司全球發售約3.65億股股份，其中香港發售股份2191.32萬股，國際發售股份約3.43億股，另有15%超額配股權；發售價已釐定為每股發售股份115.00港元，B類股份將以每手100股B類股份為單位進行買賣；摩根士丹利、BofA SECURITIES及華興資本為聯席保薦人，預期B類股份於2021年2月5日於聯交所主板掛牌上市。
國際發售初步提呈發售的發售股份獲大幅超額認購，相當於國際發售初步可供認購發售股份總數約39倍。根據香港公開發售初步提呈發售的香港發售股份獲大幅超額認購。公司合共接獲1,422,977份有效申請，認購合共109.95億股香港發售股份，相當於香港公開發售初步可供認購香港發售股份總數約1,204.16倍。
根據發售價每股發售股份115.00港元及基石投資協議，基石投資者認購合共1.65億股發售股份，相當於(a)公司緊隨全球發售完成後已發行股本約4.02%(假設並無行使超額配股權及上市時根據首次公開發售前僱員持股計劃的已行使購股權發行3.63億股B類股份，且概無根據首次公開發售前僱員持股計劃的未行使購股權、首次公開發售後購股權計劃及首次公開發售後受限制股份單位計劃發行其他股份)；及(b)全球發售的發售股份數目45.23%(在各情況下均假設並無行使超額配股權)。
按發售價每股發售股份115.00港元計算，公司估計自全球發售收取所得款項淨額約412.76億港元。其中，該等所得款項淨額約35%將用於增強公司生態系統；約30%將用於加強公司研發及技術能力；約25%將用於選擇性收購或投資產品、服務及業務；及約10%將用作營運資金及一般企業用途。倘超額配股權獲悉數行使，則期權授予人將收取擬出售的404.54萬股B類股份的所得款項淨額4.582億港元，公司將收取發行5073.73萬股新B類股份的所得款項淨額470.028億港元。
