新明中國(02699.HK)延長收購恆生置業發行新股份截止日期

格隆匯1月29日丨新明中國(02699.HK)公佈,於2020年6月17日,公司直接全資附屬Xinming Capital Limited擬向馬學忠收購恆生置業全部已發行股本,代價為1.78億港元,將通過發行1.78億股代價股份支付,佔經擴大後公司股份約8.64%,每股發行價為1.0港元,較6月17日收市價折讓約4.76%。

董事會已獲悉,賣方仍就住宅目標土地的新的土地使用權證的發行時間與有關政府部門進行商討,而賣方已要求公司為其提供延長時間。因此,買方與賣方已於2021年1月29日訂立協議的延期函,雙方藉此同意將最後截止日期由2020年12月31日延期至2021年4月30日。
