雅仕维(01993.HK)拟1.227亿港元收购亿华国际全部股份及贷款
格隆汇 1 月 22日丨雅仕维(01993.HK)公告，于2021年1月22日，公司、目标公司亿华国际有限公司及林订立收购协议，据此，公司有条件同意收购而林有条件同意出售：(i)销售股份，相当于目标公司已发行股的100%；及(ii)金额为约3820万港元的销售贷款，代价为约1.227亿港元。公司将向林或其代名人发行永久次级可换股证券，以支付代价。
目标公司乃于萨摩亚注册成立有限公司，由林全资拥有。目标公司主要从事物业投资。
公司为于开曼群岛注册成立有限公司。公司为投资控股公司，而其附属公司主要从事户外广告媒体发展及经营，包括中国及香港的机场、地铁广告、广告牌及大厦创意广告。
目标公司为林全资拥有的公司。目标公司主要从事物业投资，包括向公司的间接全资附属公司香港雅仕维广告(作为租户)出租办公室。集团自2017年起向目标公司租赁办公室，作为其于中国北京的办公场所。完成后，集团将不再需要向目标公司支付月租。
经考虑集团的营运需要后，董事会认为收购一家在北京供长期使用的办公室，将对集团盈利带来正面影响，同时鉴于北京对办公设施的需求日盛，此举可为办公室提供永久处所。有关租赁的详情，请参阅公司日期为2020年7月2日的公告。
董事会亦认为，透过支付永久次级可换股证券的代价，公司可收购有价值的资源，而毋须对公司财务资源构成负担，因为偿还永久次级可换股证券前，不会对集团构成即时重大现金流出压力，而永久次级可换股证券并无到期日。
倘公司紧随转换后将违反上市规则，则永久次级可换股证券持有人不得行使任何换股权。林亦承诺，于转换后，彼将及将促使代名人以配售方式减持股份，以根据上市规则规定，维持25%公众持股量。
再者，公司可全权酌情根据永久次级可换股证券条款选择延期分派，使集团在财务及现金流量管理方面更具弹性。
