*ST平能(000780.SZ)：龙源电力拟换股吸收合并公司及重大资产出售等等 明起复牌
格隆汇 1 月 17日丨*ST平能(000780.SZ)公布，龙源电力通过向平庄能源全体换股股东以发行A股股票换股吸收合并平庄能源。此次合并完成后，平庄能源将终止上市，并最终注销法人资格。龙源电力的原内资股及为此次吸收合并发行的A股股份将申请在深交所主板上市流通。
平庄能源将拟出售资产以各方约定的价格转让给内蒙古电力或其子公司，拟出售资产的对价由内蒙古电力或其子公司向合并后的存续公司龙源电力以现金支付。于交割日，拟出售资产将直接交割至内蒙古电力或其子公司。
龙源电力将向国家能源集团其他下属子公司东北电力、陕西电力、广西电力、云南电力、甘肃电力、华北电力购买资产，拟购买资产的对价由存续公司龙源电力以现金支付。于交割日，拟购买资产将直接交割至存续公司龙源电力或其子公司。
此次换股吸收合并、资产出售及现金购买互为前提条件，其中任何一项未能实施，则其他两项均不实施。此次交易完成后，平庄能源将退市并注销法人资格，龙源电力作为存续公司，由其或其指定的全资子公司承继或承接平庄能源的全部资产、负债、业务、合同、资质、人员及其他一切权利与义务(拟出售资产除外)，龙源电力为本次吸收合并发行的A股股票及原内资股将申请在深交所主板上市流通；同时根据《资产出售协议》及《支付现金购买资产协议》，拟出售资产将直接交割至内蒙古电力或其子公司，拟购买资产将直接交割至存续公司龙源电力或其子公司。
发行价格与换股价格：龙源电力此次A股发行价格为11.42元/股。若龙源电力自定价基准日起至换股实施日（包括首尾两日）发生派送现金股利、股票股利、资本公积转增股本、配股等除权除息事项，则上述发行价格将作相应调整。除此之外，发行价格不再进行调整。
平庄能源的换股价格以定价基准日前20个交易日的均价3.50元/股为基准，给予10%的溢价率，即3.85元/股。若平庄能源自定价基准日起至换股日(包括首尾两日)发生派送现金股利、股票股利、资本公积转增股本、配股等除权除息事项，则上述换股价格将作相应调整。除此之外，换股价格不再进行调整。
换股比例：换股比例计算公式为：换股比例=平庄能源A股换股价格/龙源电力A股发行价格(计算结果按四舍五入保留四位小数)。此次合并的换股比例为1：0.3371，即平庄能源换股股东所持有的每1股平庄能源A股股票可以换得0.3371股龙源电力本次发行的A股股票。自定价基准日至换股实施日(包括首尾两日)，除非合并双方中的任何一方发生现金股利、股票股利、资本公积金转增股本、配股等除权除息事项，或者发生按照相关法律、法规或监管部门的要求须对发行价格或换股价格进行调整的情形外，换股比例在任何其他情形下均不作调整，提醒广大投资者关注相关风险。
经向深圳证券交易所申请，公司股票将于2021年1月18日开市起复牌。
