佳源国际控股(02768.HK)拟收购青岛及威海项目 拓展全国重点区域战略布局

格隆汇 1 月 14日丨佳源国际控股(02768.HK)发布公告,2021年1月13日,公司与沈天晴先生订立买卖协议,据此,沈先生已有条件同意出售销售股份,其相当于目标公司(鲁源投资控股有限公司)的全部已发行股本,初步代价约为72.476亿港元(可予以调整)。其中,约34.206亿港元将透过发行可换股债券予以结付;约27.72亿港元将透过发行及配发8.4亿股代价股份予以结付;及余额约10.549亿港元将以现金予以结付。转换价及发行价均为3.30港元,较年1月13日收市价3.14港元溢价约5.10%。

目标集团于2020年9月30日的调整后资产净值约为76.016亿港元,初步代价为调整后资产净值折让约4.66%。重组完成后,目标集团将持有三个青岛项目及一个威海项目。青岛项目主要包括大型住宅综合体项目,以及批发及零售、信息技术研究以及商业办公室开发。威海项目为一个具备购物中心及其他配套设施的住宅综合体项目。

公告表示,由于目标集团的房地产开发项目主要位于中国新一线城市之一的山东省青岛市,因此集团预计山东省的房地产市场未来将继续稳定增长,将提高集团的销售预期。另一方面,集团可能会通过在区域布局中增加更多省份以迅速扩大其业务的地理覆盖范围,并进一步扩大其土地储备并实现规模经济,从而提升集团的竞争力。

再者,集团认为此次收购事项已履行沈先生把非上市业务持续注入到上市公司的承诺,待有关配发及发行代价股份及换股股份完成后将进一步提升沈先生的持股比例。此外,集团的估计净资产的增加将持续优化集团的资产负债结构,进一步使得集团的财务状况更趋稳健。

集团相信进军山东省市场将为公司日后的发展奠下稳固基础,对进一步提升“佳源”品牌在中国的影响力起了积极的作用,并将有助拓展集团于全国重点区域的战略布局。监于收购事项与集团的“做大做强”战略方针一致;借着于山东省的项目收购合并的机遇,全面提升房地产价值链的核心竞争力;及可优化公司的资产组合,董事认为收购事项属公平合理,并符合公司及其股东整体利益。
