中民控股(00681.HK)拟向重庆景通犀野实业注资3500万元
格隆汇 1 月 13日丨中民控股(00681.HK)发布公告，2021年1月12日，注资方(重庆犀野，为公司的间接全资附属公司)、目标公司(重庆景通犀野实业有限公司)及重庆景通(目标公司单一股东)订立增资扩股合同，据此，注资方(重庆犀野)有条件同意向目标公司注资人民币3500万元，占60.34%权益(按经扩大基准)。
同日，目标公司(作为贷款人)与重庆景通(作为借款人)订立借款合同，以提供金额为人民币3000万元的贷款。贷款期限为3年，由2021年1月13日至2024年1月12日。根据借款合同，重庆景通与目标公司订立股权质押合同，据此，重庆景通质押其于目标公司39.66%权益予目标公司，为人民币3000万元的贷款事项作出担保。此外，根据借款合同，重庆景通(作为委托方)与重庆犀野(作为受托方)订立股东权利委托协议，据此重庆景通同意将其所持有目标公司39.66%权益的全部股东权利委托给重庆犀野享有及行使。
目标公司于2020年12月22日成立，主要于重庆市从事物业投资及运营及其它相关业务。按香港财务报告准则编制目标公司于2020年12月31日的净资产值为约人民币2300万元，由成立日期(2020年12月22日)至2020年12月31日止期间的财务资料，并无相关收入，盈利或亏损(除税及非经常项目前或后)。目标公司持有该等物业(重庆市渝北区双凤桥街道空港东路8号土地)拥有2.21万平方米工业用地的50年使用权，该等物业地块规划可建筑面积3.31万平方米；已建成厂房(仓库)3,948.60平方米，办公楼2,960.97平方米，在余下的土地内尚可建筑2.62万平方米的厂房、仓库和办公楼；此余下土地已经完成硬化，局部建有钢架构房屋，目前可以作为仓库、货物堆场或停车场。
