中民控股(00681.HK)擬向重慶景通犀野實業注資3500萬元
格隆匯 1 月 13日丨中民控股(00681.HK)發佈公吿，2021年1月12日，注資方(重慶犀野，為公司的間接全資附屬公司)、目標公司(重慶景通犀野實業有限公司)及重慶景通(目標公司單一股東)訂立增資擴股合同，據此，注資方(重慶犀野)有條件同意向目標公司注資人民幣3500萬元，佔60.34%權益(按經擴大基準)。
同日，目標公司(作為貸款人)與重慶景通(作為借款人)訂立借款合同，以提供金額為人民幣3000萬元的貸款。貸款期限為3年，由2021年1月13日至2024年1月12日。根據借款合同，重慶景通與目標公司訂立股權質押合同，據此，重慶景通質押其於目標公司39.66%權益予目標公司，為人民幣3000萬元的貸款事項作出擔保。此外，根據借款合同，重慶景通(作為委託方)與重慶犀野(作為受託方)訂立股東權利委託協議，據此重慶景通同意將其所持有目標公司39.66%權益的全部股東權利委託給重慶犀野享有及行使。
目標公司於2020年12月22日成立，主要於重慶市從事物業投資及運營及其它相關業務。按香港財務報吿準則編制目標公司於2020年12月31日的淨資產值為約人民幣2300萬元，由成立日期(2020年12月22日)至2020年12月31日止期間的財務資料，並無相關收入，盈利或虧損(除税及非經常項目前或後)。目標公司持有該等物業(重慶市渝北區雙鳳橋街道空港東路8號土地)擁有2.21萬平方米工業用地的50年使用權，該等物業地塊規劃可建築面積3.31萬平方米；已建成廠房(倉庫)3,948.60平方米，辦公樓2,960.97平方米，在餘下的土地內尚可建築2.62萬平方米的廠房、倉庫和辦公樓；此餘下土地已經完成硬化，局部建有鋼架構房屋，目前可以作為倉庫、貨物堆場或停車場。
