华夏文化科技(01566.HK)溢价4.6%配售筹4,410万元 购四中国动漫作品使用权
华夏文化科技(01566.HK)公布,直接全资附属华夏动漫斥4,410万元收购狮运控股之51%股权,狮运控股拥有四部中国动漫作品的使用权。
收购事项代价起初由公司向卖方配发及发行代价债券偿付,根据协议,买方及卖方随後有条件同意,由公司根据一般授权按发行价2.5元向卖方配发及发行1,764万股代价股份支付。相关股份占公司扩大後股本1.8%,配售价则较股份上一个交易日收市价溢价4.6%。完成後,狮运控股将成为公司之联营公司,其账目不会於公司账目中综合入账。
