香港中旅(00308.HK)拟3.91亿元收购杭州开元森泊旅游34%股权
格隆汇12月24日丨香港中旅(00308.HK)公告，于2020年12月24日，公司全资附属中旅景区（作为买方）、开元旅业（作为卖方）及目标公司杭州开元森泊旅游投资有限公司订立股权收购协议，中旅景区有条件同意收购目标公司34%股权，代价为人民币3.91亿元。于完成后，公司将间接持有目标公司34%股权
。目标公司定位中高端市场微度假项目，价值主张是向中高端客户群提供城市周边短途游休闲度假产品，引领消费升级，建立了特色化、低成本、重品质的价值支撑体系。目标集团拥有吸引市场的良好旅游IP与高口碑产品、被行业认可的可复制模式及优异的业绩表现，亦是开元森泊旅游IP的落地实体。公司通过其附属公司收购兼并目标公司成熟的旅游IP，有助公司推进旅游地产业务跨越式发展。
开元旅业作为国内酒店行业领先民营企业，是一家持续追求价值领先的旅游产业投资与运营集团，公司与开元旅业的深度合作是推进混合所有制改革的重要尝试，通过与现有业务的协同，将有助于激发集团的内生动力与活力，改善本集团资本结构和产权结构，提升自身效率和竞争力。
