銀城國際控股(01902.HK):逾6億元參與開發無錫土地項目開發
格隆匯 12 月 23日丨銀城國際控股(01902.HK)公佈,於2020年10月20日,無錫華宇中標收購(i)來自無錫山水的項目公司全部股權;及(ii)項目公司結欠無錫山水的債項人民幣7億元,代價為人民幣7.52億元。項目公司的主要資產為土地。於2020年11月10日,無錫華宇與無錫山水就收購事項訂立產權交易合同。
於2020年12月23日,無錫華宇、無錫銀澤濤(公司的全資附屬公司)與無錫銀澤渲(公司的全資附屬公司)訂立合作協議,據此:
(i)於無錫華宇向無錫山水支付代價的30%及無錫山水根據產權交易合同完成向無錫華宇轉讓項目公司全部股權後,無錫華宇將向無錫銀澤渲轉讓項目公司全部股權;
(ii)考慮到無錫華宇向無錫銀澤渲轉讓項目公司全部股權,無錫銀澤渲將:(a)向無錫華宇配發其50%股權;及(b)聯同無錫銀澤濤向無錫華宇支付人民幣5.26億元以促成無錫華宇結清代價餘款,以及向項目公司支付人民幣8979.7萬元以結清補容土地款;及
(iii)無錫華宇及無錫銀澤濤將透過無錫銀澤渲及項目公司共同開發土地。
於合作協議項下擬進行交易完成後,無錫銀澤渲及項目公司將成為公司的非全資附屬公司,而其財務業績將綜合入賬至公司的綜合財務報表。
據悉,項目公司無錫雪浪長廣置業為無錫華宇的全資附屬公司。項目公司主要從事房地產開發。項目公司自新近成立以來並無重大業務營運。 該地塊為位於東至五湖大道、南至高遠路、西至規劃道路、北至和風路的地塊,面積28,845.3平方米。
董事會認為,透過合作協議項下的安排將提升集團於長三角地區開發優質住宅物業的現有業務,故集團將發揮其優勢,進一步提升其於長三角地區的地位及影響力,併為其股東帶來更多投資回報。
