北控水務集團(00371.HK)：北控中科成環保獲增資93.6億元
格隆匯 12 月 22日丨北控水務集團(00371.HK)公佈，於2020年12月22日，志京、北控水務(中國)投資、華中、漢益、家訊、采聲、目標公司(均為公司的全資附屬公司)與平安基石貳號訂立增資協議，據此平安基石貳號同意以現金出資方式向目標公司注資人民幣20億元，以增加目標公司的註冊資本及資本公積。志京及北控水務(中國)投資亦同意以現金出資方式分別向目標公司注資人民幣50.53億元及人民幣23.07億元，以增加目標公司的註冊資本及資本公積。
據悉。目標公司北控中科成環保集團有限公司為公司的全資附屬公司，其主要投資控股經營相關環保工程、市政工程及工業給排水工程項目投資，建設以及運營管理；環保、市政工程設計、諮詢以及相關技術服務，環保軟件的研發、生產；給排水處理設備及其他環保產品的研發、生產；銷售公司產品及其他環保相關產品。
於公佈日期，目標公司分別由志京、北控水務(中國)投資、華中、漢益、家訊及采聲持有17.51%、31.34%、43.21%、4.95%、2.45%及0.54%的股本權益。於增資完成後，目標公司將繼續為集團的附屬公司。
集團將使用增資所得款償還債務。集團的槓桿比率將有效降低，同時其財務費用和融資成本有效降低，此有利於提升集團的競爭力及可持續健康發展。目標公司增資將為集團帶來更多資本，增強集團資金能力，提供更佳的資產負債結構，降低集團的財務風險。
緊隨增資完成後，目標公司將繼續為公司的附屬公司，而集團將維持對目標公司未來發展的管控。增資協議項下的退出安排提供北控水務(中國)投資(當發生若干特殊情況時)向平安基石貳號收購該股本權益選擇權，而此最終為集團的利益而設。倘收購該股本權益選擇權獲行使，集團將有更大的靈活性再次保持對目標公司的更大控制權，併為集團提供進一步開拓業務發展的機會，而毋須與其他實體分享潛在的經濟回報。
