拉夏貝爾(06116.HK)收到上海證券交易所監管工作函
格隆匯 12 月 22日丨拉夏貝爾(06116.HK)公告，新疆拉夏貝爾服飾股份有限公司(以下簡稱“公司”或“拉夏貝爾”)於2020年12月22日收到上海證券交易所監管二部《關於新疆拉夏貝爾服飾股份有限公司股東自行召集股東大會有關事項的監管工作函》(上證公函【2020】2746號，以下簡稱“工作函”)，現將具體內容公告如下：“新疆拉夏貝爾服飾股份有限公司：
今日，你公司披露《關於公司股東邢加興自行召集2021年第一次股東大會的通知》，提請罷免公司董事(長)段學鋒。該事項對公司影響重大，根據本所《股票上市規則》第17.1條規定，現對你公司提出如下監管要求：
一、公告顯示，公司股東邢加興作為單獨持有公司25.91%股份的股東，分別於2020年11月27日、12月8日向公司董事會、監事會發出關於提請召開臨時股東大會的請求，均未獲任何迴應。請公司核實並披露：(1)公司股東邢加興提請召開臨時股東大會的具體情況和相關程序，公司是否嚴格按照《股票上市規則》相關規定履行信息披露義務；(2)董事會、監事會核實股東自行召集股東大會的有關情況，説明是否勤勉盡責，是否嚴格按照《公司法》以及公司章程的相關規定盡職履責。
二、股東大會資料顯示，公司股東認為段學鋒在擔任公司董事(長)期間，未能勤勉盡責、維護股東及公司利益,未能切實履行作為董事應盡的責任和義務。請公司核實並披露：(1)結合股東提案的內容，説明董事長段學鋒是否存在上述情況；(2)公司股東邢加興與董事長段學鋒是否存在其他協議或安排，若存在請披露具體情況；(3)目前公司的控制權狀態。
三、根據公司12月22日披露的回覆本所監管工作函公告稱，公司面臨資金緊張、生產經營停滯、員工離職或放假、關鍵人員頻繁變動的情況，導致組織機構運轉受阻，公司內控環境存在一定瑕疵、內部監督有所缺失。請公司詳細披露公司目前董監高的履職情況，全面規範公司治理運作，充分提示存在的風險。
請公司收到函後立即對外披露，並於三個交易日內書面回覆我部，同時履行相應的信息披露義務。”
