哈尔滨电气(01133.HK)：投资人及员工持股平台拟向阀门公司增资2.44亿元
格隆汇 12 月 22日丨哈尔滨电气(01133.HK)发布公告，公司与阀门公司、投资人及员工持股平台于2020年12月21日订立《阀门公司增资协议》，据此，投资人及员工持股平台将以现金出资方式，分别向阀门公司投资人民币22,000万元及2,444.42万元，以持有阀门公司股权，投资人及员工持股平台共计投资人民币24,444.42万元。本次增资后，公司、投资人及员工持股平台将分别持有阀门公司45%、45%及10%股权。阀门公司仍为公司附属公司。
哈电集团哈尔滨电站阀门有限公司(“阀门公司”)为公司的附属公司，为一家于中国注册成立的有限责任公司，主要业务为开发、生产、销售、安装、检修、调试阀门；阀门及配套设备的技术开发、技术咨询、技术转让、技术服务；销售：电动装置、吹灰设备、水位测量装置、减温减压装置、电站辅机；电站系统设计、国外产品分包、国内贸易；从事货物进出口、技术进出口等。
投资人包括黑龙江省穆棱市电站阀门有限责任公司、山东鸿信新能源技术服务中心(有限合伙)、国新双百壹号(杭州)股权投资合伙企业(有限合伙)、黑龙江振兴基金投资企业(有限合伙)及黑龙江融汇工创创业投资企业(有限合伙)。员工持股平台包括哈尔滨市瑞泰龙阀门销售中心(有限合伙)、哈尔滨市润泰龙阀门技术研发中心(有限合伙)及哈尔滨市誉泰龙阀门智能制造中心(有限合伙)。
公告表示，本次增资利于阀门公司获得外部资金支持，借助资本市场力量，集中资源突破高端产品的技术壁垒；利于阀门公司利用资金整合上下游企业资源，培育壮大阀门产业；利于阀门公司转换经营管理机制，激活内生动力；利于阀门公司建立契约收入与资本收益相结合的薪酬体系模型，使经营者的长期利益与阀门公司的长远发展紧密结合在一起。
