天立教育(01773.HK)擬先舊後新配售9100萬股 總籌約7.03億港元
格隆匯 12 月 16日丨天立教育(01773.HK)發佈公告，2020年12月16日(交易時段前)，公司、賣方(Sky Elite Limited，由公司執行董事、主席、行政總裁及控股股東羅實全資擁有)與經辦人訂立配售及認購協議，據此，賣方同意委任經辦人及各經辦人按個別(而非共同或共同及個別)基準同意作為賣方代理，以按竭誠基準促使不少於6位承配人按配售價購買合共9100萬股現有股份；及賣方同意認購由公司按認購價(即與配售價相同價格)向賣方配發及發行的合共9100萬股新股份，惟均須根據配售及認購協議各自所載條款及受其條件規限。
假設除公司配發及發行認購股份外，於該公告日期至認購事項完成期間已發行股份總數將無變動，則銷售股份相當於該公告日期已發行股份總數約4.39%；及認購事項完成時經擴大已發行股份總數約4.20%。配售價為每股股份7.72港元(認購價與配售價相同)，較最後交易日期在聯交所所報收市價每股股份8.77港元折讓約11.97%。
認購事項所得款項總額預期約為7.025億港元，認購事項所得款項淨額預期約為6.941億港元。每股認購股份的淨認購價估計約為7.63港元。公司從認購事項獲得的所得款項淨額擬用作未來潛在以合理的價格收併購高質量的目標及拓展一線及核心城市的自建自營項目。公司將向上市委員會申請批准認購股份上市及買賣。
