小米(01810.HK):雷軍配合增發有股份變動 不涉任何減持或增持
根據聯交所最新披露顯示,小米集團(01810.HK)披露董事長雷軍的股份權益變動,雷軍以相同價格進行賣出和認購10億股。據悉,由於集團之前採用先舊後新的方式進行增發,雷軍的股份變動是為配合增發而進行的相應操作,並不涉及其本人股份的任何減持或增持。
早前小米公布擬以先舊後新的方式配售10億股,同時擬發行初步換股價格為36.74港元的可轉債,兩筆交易共涉及金額約40億美元。
先舊後新的增發流程是先由大股東雷軍將股票賣給承配人,然後雷軍再向公司認購相同數量的新股,最終雷軍的持股數量不變,而採取先舊後新的形式可以加快將股份交到承配人手上,提高配售效率。
