正通汽车(01728.HK)收到银保监会上海监管局行政决定书 12月7日复牌
格隆汇 12 月 7日丨正通汽车(01728.HK)发布公告，2020年10月20日，公司从中国银保监会上海监管局收到一项针对公司的行政决定，指控(i)公司以不正当手段取得行政许可并发起设立公司的子公司上海东正汽车金融有限公司(“东正”)，并且公司及其关联方与东正进行了不合规的关联方交易；(ii)东正的经销商汽车贷款业务严重违反审慎经营的原则。
根据中国银保监会决定，(i)撤销《上海银监局关于上海东正汽车金融有限责任公司开业的批复》(沪银监复[2015]132号)，《上海银监局同意上海东正汽车金融有限责任公司变更注册资本的批复》(沪银监复[2017]233号)、《上海银保监局关于核准上海东正汽车金融股份有限公司变更注册资本的批复》(沪银保监复[2019]500号)等相关批复中同意公司出资、增资等行政许可；(ii)自中国银保监会决定之日起，公司不得行使其作为东正控股股东的权利，包括要求召开股东大会的权利、投票权、提名权、提案权、处置权和股息权；(iii)通过撤销与东正有关的行政许可和许可证而获得的公司利益将不受保护；及(iv)下令在中国银保监会决定之日起3个月内清退公司在东正的权益。在中国银监会的命令已完全执行之前，东正不获允许向公司退还资金。此外，东正的经销商汽车贷款业务也被下令暂停。
公司有权在收到中国银保监会决定之日起60天内向中国银保监会提出行政覆议申请，或在收到中国银保监会决定之日起六个月内向具有管辖权的法院提起行政诉讼。在审查或诉讼期间，中国银保监会决定的执行将不会被暂停。公司目前正在寻求有关中国银保监会决定的法律意见。在寻求适当的建议后，公司可选择向中国银保监会提出行政覆议申请或提起行政诉讼，并厘定有关行动方案是否符合公司及其股东的最佳利益。
有关(其中包括)公司控股股东出售股份。公司已获公司控股股东Joy Capital Holdings Limited(持有公司1,383,516,820股股份(约占于该公告日期已发行股份总数的51.29%))告知，Joy Capital(作为卖方)与王木清先生及厦门信达(作为买方)于2020年10月19日达成的买卖协议项下拟进行的交易将不受中国银保监会决定的影响。
应公司要求，自2020年10月20日上午9时14分起，公司股份和债务证券在联交所的交易已暂停，直至本公告发布。公司已向联交所申请自2020年12月7日上午9时正起恢复公司股份和债务证券的交易。
