正通汽車(01728.HK)收到銀保監會上海監管局行政決定書 12月7日復牌
格隆匯 12 月 7日丨正通汽車(01728.HK)發佈公告，2020年10月20日，公司從中國銀保監會上海監管局收到一項針對公司的行政決定，指控(i)公司以不正當手段取得行政許可併發起設立公司的子公司上海東正汽車金融有限公司(“東正”)，並且公司及其關聯方與東正進行了不合規的關聯方交易；(ii)東正的經銷商汽車貸款業務嚴重違反審慎經營的原則。
根據中國銀保監會決定，(i)撤銷《上海銀監局關於上海東正汽車金融有限責任公司開業的批覆》(滬銀監復[2015]132號)，《上海銀監局同意上海東正汽車金融有限責任公司變更註冊資本的批覆》(滬銀監復[2017]233號)、《上海銀保監局關於核准上海東正汽車金融股份有限公司變更註冊資本的批覆》(滬銀保監復[2019]500號)等相關批覆中同意公司出資、增資等行政許可；(ii)自中國銀保監會決定之日起，公司不得行使其作為東正控股股東的權利，包括要求召開股東大會的權利、投票權、提名權、提案權、處置權和股息權；(iii)通過撤銷與東正有關的行政許可和許可證而獲得的公司利益將不受保護；及(iv)下令在中國銀保監會決定之日起3個月內清退公司在東正的權益。在中國銀監會的命令已完全執行之前，東正不獲允許向公司退還資金。此外，東正的經銷商汽車貸款業務也被下令暫停。
公司有權在收到中國銀保監會決定之日起60天內向中國銀保監會提出行政覆議申請，或在收到中國銀保監會決定之日起六個月內向具有管轄權的法院提起行政訴訟。在審查或訴訟期間，中國銀保監會決定的執行將不會被暫停。公司目前正在尋求有關中國銀保監會決定的法律意見。在尋求適當的建議後，公司可選擇向中國銀保監會提出行政覆議申請或提起行政訴訟，並釐定有關行動方案是否符合公司及其股東的最佳利益。
有關(其中包括)公司控股股東出售股份。公司已獲公司控股股東Joy Capital Holdings Limited(持有公司1,383,516,820股股份(約佔於該公告日期已發行股份總數的51.29%))告知，Joy Capital(作為賣方)與王木清先生及廈門信達(作為買方)於2020年10月19日達成的買賣協議項下擬進行的交易將不受中國銀保監會決定的影響。
應公司要求，自2020年10月20日上午9時14分起，公司股份和債務證券在聯交所的交易已暫停，直至本公告發布。公司已向聯交所申請自2020年12月7日上午9時正起恢復公司股份和債務證券的交易。
