香港生力啤(00236.HK)：附屬公司廣州生力清盤
格隆匯 11 月 25日丨香港生力啤(00236.HK)公佈，有關其於中國的附屬公司廣州生力啤酒有限公司("廣州生力")，因根據廣州生力的組織章程及生力啤(廣東)有限公司("生力啤廣東")與廣州啤酒廠("廣州啤酒廠")之間的合資合同("合資合同")，於2020年11月29日營業期限屆滿後結束業務。
於2020年11月25日，廣州生力的股東正式通過一項書面決議案，批准廣州生力於2020年11月29日營業期限屆滿而解散，及廣州生力將於2020年11月30日根據中國適用法律開始清算程序。股東亦批准為廣州生力組成5人清算組，成員包括生力啤廣東和廣州啤酒廠、由生力啤廣東委任的2位額外成員及由廣州啤酒廠委任的一(1)位額外成員，於2020年11月30日生效。清算組將根據中國適用法律行使其權力和權利，並在清算期間開展工作。
廣州生力為生力啤廣東與廣州啤酒廠於1990年成立的合資合營公司，並由生力啤廣東及廣州啤酒廠分別持有70%及30%。生力啤廣東為公司擁有92.989%權益的附屬公司。廣州生力的主要業務是於華南市場分銷瓶裝、罐裝及桶裝啤酒。
由於廣州生力截至於2019年12月31日止年度的經審核收入佔集團截至2019年12月31日止年度經審核綜合收入的5％以上，因此就上市規則第13.25(2)條而言，廣州生力被視為公司的主要附屬公司。
廣州生力的組織章程和合資合同中規定的營業期限為30年。由於廣州生力的雙方股東已同意不延長廣州生力的營業期限，因此廣州生力將於2020年11月30日根據中國法律開始清算程序。
於2020年11月29日日營業結束時廣州生力結束業務後，公司於中國的另一間附屬公司生力(廣東)啤酒有限公司("生力(廣東)")(現為廣州生力以"生力"相關商標銷售的啤酒產品的生產來源)將於2020年11月30日起於華南市場銷售和分銷上述啤酒產品。
隨着廣州生力展開清算，其財務業績及狀況將不再與集團的財務業績及狀況綜合入賬。因廣州生力及生力(廣東)的經營業績已合併到集團的綜合報表中，上述的業務結束將不會對集團當期綜合報表的損益產生重大影響，亦不會對集團綜合報表的資產及負債狀況產生重大影響。
