意馬國際(00585.HK)：香港持牌附屬擬增發4300萬股，公司持股將降至90.01%
格隆匯 11 月 12日丨意馬國際(00585.HK)公佈，於2020年11月12日，目標公司Imagi Brokerage Limited(公司擁有97.56%的間接附屬公司)及認購人精基投資訂立認購協議，據此，待條件獲達成後，目標公司擬向認購人發行4300萬股新股，認購價為每股1.38港元。視作出售事項的代價593.4萬港元將由認購人於完成後以現金結算。
於完成後，連同根據先前視作出售事項發行及配發的1250萬股認購股份，認購人將合共持有5550萬股目標公司股份，相當於目標公司經擴大股本約9.99%，而公司將持有目標公司經擴大股本約90.01%。目標公司仍為公司的間接非全資附屬公司。
據悉，目標公司Imagi Brokerage Limited為一間於香港註冊成立的有限公司，目標集團主要從事證券經紀服務及證券投資業務。目標公司為一間持有證監會牌照之持牌機構，以於香港從事證券交易(第1類牌照)、期貨合約交易(第2類牌照)、就證券提供意見(第4類牌照)、就期貨合約提供意見(第5類牌照)及提供資產管理(第9類牌照)之業務活動。
於公告日期，公司及認購人分別擁有目標公司的97.56%及2.44%股權。目前由認購人持有的目標公司的2.44%股權已根據先前視作出售事項收購。
認購人為中國恆嘉融資租賃集團有限公司("中國恆嘉")的直接全資附屬公司，中國恆嘉的股份於聯交所主板上市(股份代號：379)。中國恆嘉集團主要於中國從事融資租賃及相關諮詢服務、股本證券買賣、物業投資、食品添加劑業務、投資控股、放貸業務、生產及╱或買賣日用品、醫療保健產品。
