安保工程控股(01627.HK)擬重新發展萬順工業大廈地皮
格隆匯 11 月 10日丨安保工程控股(01627.HK)公告,地政署已發出正式書面要約,就有關晴風建議將該地皮土地契約由工業用途修訂為非住宅用途。根據該要約,該建議契約修訂地價金額為5.54億港元,而晴風須於接受該要約時繳付相當於地價10%作為訂金,而地價餘額須於接受該要約後三個月內繳付。
董事會認為地價金額為可接受水平。集團打算接受該要約並擬以(i)集團的內部資源及(ii)在可得的範圍內的新銀行融資,來為有關擬重新發展事項(包括地價和相關發展費用)提供融資。
根據該建議契約修訂,該地皮將發展為非住宅用途,所建的非住宅大廈的總樓面面積將不超過14,775平方米。該非住宅大樓可為集團未來的發展提供更大的靈活性,並可選擇出租大廈的剩餘空間(如有)。因此,董事會決定接受該要約,並於今日(交易時間後)指示相關顧問公司安排於2020年11月20日限期前,將一份接受函件送交地政署。
董事會謹此提醒公司的股東及潛在投資者,擬重新發展該地皮取決於(其中包括)是否能滿足該要約中所述該建議契約修訂的條件。
