太古地產(01972.HK):擬以98.45億港幣出售太古城中心第一座物業的權益

格隆匯 11 月 9日丨太古股份公司A(00019.HK)、太古股份公司B(00087.HK)與太古地產(01972.HK)聯合公佈,2020年10月28日的公告披露,內容有關可能出售太古地產於太古城中心第一座物業的權益。

太古地產、買方Rocha Land Limited及買方擔保人於2020年11月9日訂立買賣協議,出售太古地產於目標公司Actuate Too Limited的100%權益,對價總額約港幣98.45億元,可予以調整。目標公司全資持有該等共同擁有太古城中心第一座物業的物業持有附屬公司。

太古城中心第一座物業指的是位於香港太古城英皇道1111號的多層辦公樓,其建於太古城中心購物商場上蓋及位於鰂魚涌海旁地段第2號及增批部分R分段餘段及鰂魚涌海旁地段第2號及增批部分J分段餘段。

太古地產於目標公司100%權益的對價將部分以現金支付,部分以對價股份(即買方控股公司股份)支付。買賣協議完成後,目標公司將不再是各該等公司的附屬公司,太古控股實體將擁有對價股份,將佔不超過買方控股公司股份的37%,從而將代表於太古城中心第一座物業的不超過37%的間接股本權益。

根據買賣協議,太古控股實體、買方擔保人及買方控股公司須於買賣協議完成時就太古控股實體與買方擔保人之間作為買方控股公司股東的關係訂立股東協議。買賣協議已約定股東協議的主要條款。該等主要條款包括:

(a)認購期權,即買方擔保人在認購期權行使期內,可以認購期權行使價收購由太古控股實體擁有的若干或全部買方控股公司股份的權利;及

(b)認沽期權,即太古控股實體在認沽期權行使期內,可要求買方擔保人按認沽期權行使價收購太古控股實體擁有的所有買方控股公司股份的權利。

進行出售事項將可讓太古地產從其於所售權益的投資中獲取資金。從出售事項所得的款項將會用作太古地產的一般營運資金。
