邁科管業(01553.HK)擬成立泰國合資公司
格隆匯 11 月 6日丨邁科管業(01553.HK)宣佈，於2020年11月6日，公司全資附屬Tube Investment與JJ Fittings及ssence Electrical(統稱"合資夥伴")訂立合資協議。
根據合資協議的條款，TubeInvestment及合資夥伴已同意在泰國成立一間合資公司，以進行通常用於保護電線安全的預製電力管道產品的生產及銷售。集團擬主要向海外客户銷售該等產品。合資公司的註冊資本為1.1億泰銖(約2750萬港元)，其中Tube Investment、JJ Fittings及Essence Electrical應分別出資約7810萬泰銖(約1960萬港元)、2090萬泰銖(約520萬港元)及1100萬泰銖(約280萬港元)，按其擬定持股比例分別佔合資公司股權的71%、19%及10%。合資公司董事會應由四名董事組成。Tube Investment有權提名三名董事，而合資夥伴有權提名一名董事。合資公司主席應由合資公司董事會成員選舉產生。集團對合資公司的運營及管理負責。如果自合資協議訂立之日起六個月內合資公司的成立未獲相關當地主管機構批准，合資協議即告失效。
集團的業務策略為不時開發新客户及拓展其市場，通過多樣化其產品種類以增加公司之價值。根據董事的行業知識及經驗，其相信海外市場對預製電力管道產品有商機及需求。監於合資夥伴穩定的客户基礎及在預製電力產品的運營、技術標準及質量控制方面的豐富經驗，以及預製電力管道產品的製造過程類似於集團的標準預製管道接頭產品，董事認為集團將能夠擴大其市場份額併為集團帶來新商機，並亦通過合資公司的合作與合資夥伴建立良好的業務關係。
