先施(00244.HK)：Win Dynamic以先施为受益人无偿订立一份送赠契据
格隆汇 10 月 29日丨先施(00244.HK)公布，有关公司要约事项，于2020年10月29日，Win Dynamic(为先施的控股股东，于已发行先施股份中拥有约50.42%权益)以先施为受益人无偿订立一份送赠契据。根据该契据，Win Dynamic已向先施不可撤回地承诺，向先施送赠于其接纳有关其持有的所有6.63亿股先施股份的要约后，Win Dynamic有权向要约人收取销售所得款项净额，有关款项预期约达2.60亿港元。
先施集团主要从事经营百货店、证券买卖、证券投资及提供一般和人寿保险。截至2020年2月29日止年度，先施集团录得先施股权持有人於本年度应占经审核亏损约147,400,000港元。先施股权持有人应占的权益于2020年2月29日约1.43亿港元。香港零售市况持续受到COVID-19疫情影响，而这亦对先施集团营运造成负面影响。考虑到先施集团之营运及财务状况以及为减轻先施集团之流动资金压力，Win Dynamic与先施管理层讨论后，提出倘要约成事且成为无条件，会将来自要约之销售所得款项净额送赠先施，以助先施恢复财务稳建。为达此目的，Win Dynamic已以先施为受益人订立该契据。先施现阶段计划于收到WinDynamic的送赠后，将其应用作先施集团之营运资本。
先施知悉，为促进该契据成事，Win Dynamic的股东及董事(亦为先施董事)马景煊先生及陈文卫先生均已不可撤回地同意豁免Win Dynamic结欠彼等的一切款项。于公布日期，(i)先施、其附属公司或联营公司(作为一方)；与(ii)要约人及╱或Win Dynamic或据先施所知悉与要约人及╱或Win Dynamic一致行动之任何人士(作为另一方)之间并无其他相关谅解、协议或安排。
