中兴通讯(00763.HK)拟收购中兴微电子18.8219%股权
格隆汇 10 月 28日丨中兴通讯(00763.HK)公告，于2020年10月28日，公司、恒健欣芯与汇通融信订立收购协议，据此公司有条件同意收购，而恒健欣芯及汇通融信各自有条件同意分别出售标的公司深圳市中兴微电子技术10.1349%股权及8.6870%股权，合共标的公司18.8219%股权，换取公司配发与发行对价股份。
进行收购事项的同时，公司建议进行非公开发行A股募集配套资金，总额不超过收购事项对价100%。建议非公开发行A股募集配套资金以获得中国证监会核准及收购事项落实为先决条件，收购事项则并非以建议非公开发行A股募集配套资金落实为先决条件。
截至公告日期，收购事项的审计及评估工作尚未完成。标的公司100%股权的预估值初步确定为135亿元人民币至140亿元人民币。收购事项的初步预估对价为25.41亿元人民币至26.35亿元人民币。
标的公司是根据中国法律注册成立的有限责任公司，主要从事集成电路的设计、生产、销售(不含专营、专控、专卖商品)及经营进出口业务。于公告日期，标的公司是公司的非全资附属公司，公司持股68.4%、公司全资附属公司仁兴科技持股5.1781%、公司下属全资合伙企业赛佳讯持股7.6%、恒健欣芯持股10.1349%、汇通融信持股8.6870%。
完成收购事项后，公司持有标的公司股权比例将由81.1781%增至100%。
公司认为建议非公开发行A股募集配套资金能使公司保持对5G较高的研发投入，确保技术竞争优势，以核心优势发展其主要产品和业务，有助于公司在主流产品和市场中提升市场份额，提高客户满意度，进而帮助公司增加盈利能力。
此外，公司对业务发展的流动资金需求可通过建议非公开发行A股募集配套资金予以补充，公司的资结构预计将进一步优化，这可能有助于公司降低风险。
