中興通訊(00763.HK)擬收購中興微電子18.8219%股權
格隆匯 10 月 28日丨中興通訊(00763.HK)公告，於2020年10月28日，公司、恆健欣芯與匯通融信訂立收購協議，據此公司有條件同意收購，而恆健欣芯及匯通融信各自有條件同意分別出售標的公司深圳市中興微電子技術10.1349%股權及8.6870%股權，合共標的公司18.8219%股權，換取公司配發與發行對價股份。
進行收購事項的同時，公司建議進行非公開發行A股募集配套資金，總額不超過收購事項對價100%。建議非公開發行A股募集配套資金以獲得中國證監會核准及收購事項落實為先決條件，收購事項則並非以建議非公開發行A股募集配套資金落實為先決條件。
截至公告日期，收購事項的審計及評估工作尚未完成。標的公司100%股權的預估值初步確定為135億元人民幣至140億元人民幣。收購事項的初步預估對價為25.41億元人民幣至26.35億元人民幣。
標的公司是根據中國法律註冊成立的有限責任公司，主要從事集成電路的設計、生產、銷售(不含專營、專控、專賣商品)及經營進出口業務。於公告日期，標的公司是公司的非全資附屬公司，公司持股68.4%、公司全資附屬公司仁興科技持股5.1781%、公司下屬全資合夥企業賽佳訊持股7.6%、恆健欣芯持股10.1349%、匯通融信持股8.6870%。
完成收購事項後，公司持有標的公司股權比例將由81.1781%增至100%。
公司認為建議非公開發行A股募集配套資金能使公司保持對5G較高的研發投入，確保技術競爭優勢，以核心優勢發展其主要產品和業務，有助於公司在主流產品和市場中提升市場份額，提高客户滿意度，進而幫助公司增加盈利能力。
此外，公司對業務發展的流動資金需求可通過建議非公開發行A股募集配套資金予以補充，公司的資結構預計將進一步優化，這可能有助於公司降低風險。
