新創建集團(00659.HK)擬採納新章程細則
格隆匯 10 月 22日丨新創建集團(00659.HK)公告，將被納入新章程細則的現有章程細則修訂建議的主要範疇概述如下：(1)容許所有股東大會(包括股東周年大會及任何續會或延會)可在全球任何地方及於一個或多個地點以實體會議或混合會議或電子會議方式舉行；(2)加入"電子會議"、"混合會議"、"會議地點"、"實體會議"及"主要會議地點"等定義，並對現有章程細則的條文作出相應修改。
(3)納入股東大會通知中所規定的額外細節，以便容許於一個或多個會議地點或以混合會議或電子會議形式舉行股東大會；(4)規定股東大會主席在獲得具有法定人數出席大會同意下，可推遲會議至另一時間(或無限期延期)及改以另一地點及改以另一形式(實體會議、混合會議或電子會議)舉行；(5)規定於一個或多個地點或以混合會議或電子會議形式舉行的股東大會程序，以及董事會和有關會議主席於當中的權力。
(6)規定倘若本公司董事("董事")全權酌情認為按召開會議通告所指定的日期或時間或地點或透過電子設施舉行股東大會並不適當、不可行、不合理或不可取(不論基於任何原因)，彼等可更改或推遲會議至另一日期、時間及╱或地點進行、更改電子設施及改變會議形式(實體會議、混合會議或電子會議)，而毋須經股東批准；(7)規定投票表決(以舉手方式表決除外)可由董事或大會主席決定，以電子或其他方式進行；(8)作出其他輕微修訂，包括加入"電子通訊"的定義，以及根據上述對現有章程細則的修訂作出相應修改。
(9)規定董事會可議決將當時任何儲備或基金撥充(包括損益表)的進賬款項(不論該款額是否可用作分派)全部或任何部份撥充資本，並將有關款項用於支付將予配發的未發行股份的以下用途：(i)獲股東採納或批准的任何股份獎勵計劃或僱員福利計劃或其他與該等人士有關的安排而授出的任何購股權或股份獎勵計劃獲行使或歸屬時，公司僱員(包括董事)及其聯屬人士；或(ii)任何信託的任何受託人(公司就執行已經股東採納或批准的任何股份獎勵計劃或僱員福利計劃或其他與該等人士有關的安排)；及(10)作出其他修訂以便與百慕達適用法律及上市規則的措辭保持一致。
