佳兆業健康(00876.HK)擬成立項目公司，發展北京密雲金鼎湖項目
格隆匯 10 月 19日丨佳兆業健康(00876.HK)宣佈，公司全資附屬公司美加健康服務(深圳)有限公司("美加健康")於2020年10月14日與金鼎湖巨龍旅遊開發(北京)有限公司("金鼎湖旅遊開發")及中糧信託有限責任公司("中糧信託")訂立一份合作框架協議以共同發展及經營位於中國北京市的密雲金鼎湖項目。
據悉，密雲金鼎湖項目位於中國北京市密雲區金鼎湖，為結集農村發展、康養業以及金融信託業的康養項目。該項目旨在將該地區轉型為京津冀地區的農村振興示範區及高端康養度假區。
根據合作框架協議及於美加健康信納該項目的盡職調查結果後，金鼎湖旅遊開發與美加健康將共同成立一間項目開發公司以從事項目開發及運營。根據合作框架協議，擬定金鼎湖旅遊開發將主要負責通過將土地相關權利及權益轉讓予項目公司的方式，為開發提供土地資源。亦擬定美加健康將主要負責與中國當地政府部門聯繫以及提供項目的康養概念設計、開發、營運以及管理，而中糧信託將主要負責開發基於項目公司股權、產權及租賃權的信託計劃並作為計劃受託人，以及於項目的建設、開發及營運過程中根據需要提供金融業務支持，包括但不限於以股本投資及物業信託方式提供。
公告稱，訂立合作框架協議旨在全面利用金鼎湖旅遊開發及中糧信託以及集團於各自特定領域的資源及優勢創造協同效應，進一步拓展集團的健康業務。預期訂約方將能更好抓住市場的新機遇，實現互利共贏。
