金馬能源(06885.HK)攜手安鋼集團成立合資 生產及銷售焦炭及熱能等
格隆匯 9 月 22日丨金馬能源(06885.HK)公告，於2020年9月22日，公司及安鋼集團信陽鋼鐵有限責任公司("信陽公司")訂立合資協議，據此，訂約方已有條件同意於中國河南省信陽市成立合資公司；該合資公司將主要從事生產及銷售焦炭、在相關生產流程中的餘熱生產及銷售電力，以及生產及銷售熱能。
公司已有條件同意向合資公司注資人民幣7億元，佔注資總額70%。訂約方擬根據合資協議完成注資後，合資公司將由集團持有70%權益，因此，合資公司將被視為公司的附屬公司。
就成立合資公司而言，信陽公司已有條件同意向合資公司注資人民幣3億元，且部分該注資額人民幣6000萬元將由信陽土地向合資公司注入達成。由於合資公司將被視為公司的附屬公司，由信陽公司向合資公司注入信陽土地實際上將導致集團收購信陽土地。
根據合資協議，訂約方已同意信陽焦炭生產項目的發展(現時以信陽公司的名稱登記)應由合資公司進行，因此，信陽公司已同意就信陽焦炭生產項目備案由信陽公司變更登記為合資公司，並領導協調及完成相關審批程序。於變更登記及審批程序完成後，合資公司將取得發展信陽焦炭生產項目的權利，從而取得焦炭產能，因此上述安排實際上將構成焦炭產能自信陽公司轉移至合營公司。
經顧及信陽焦炭生產項目的備案變更及信陽公司協助合資公司取得焦炭產能，合資公司將按焦炭產能每噸人民幣200元計算向信陽公司支付最高合共人民幣2.4億元作為補償。
集團是中國河南省領先的煤化工焦化行業的焦炭生產商及焦化副產品加工商。集團經營一套垂直整合業務模式，覆蓋煤化工業中焦化產業鏈，由焦炭生產至將焦化副產品加工成衍生性化學品及能源產品。
根據集團縱向及橫向擴展業務覆蓋煤化工業中焦化產業鏈的業務策略，集團一直致力於擴大其焦煤產能。考慮到近年中國政府的政策實施更嚴格的環境保護措施及規定，董事會認為取得新的焦炭產能日益困難。透過訂立合資協議，公司將有機會取得焦炭產能，其乃擴展集團業務營運的寶貴資源。
透過開發信陽土地的信陽焦炭生產項目充分利用有關焦炭產能後，集團將能夠進一步擴大其焦炭的生產產量，並從而進一步改善集團整體收入。此外，信陽公司於河南省信陽市以鋼鐵製造為固有業務。
預期集團將能夠利用該合資夥伴的資源及專長獲得新的業務機會，並進一步深化其業務發展，覆蓋焦化產業鏈。
