澳門勵駿(01680.HK)：陳榮煉擬收購聯席主席周錦輝等部分股權並提要約 21日起復牌
格隆匯 9 月 21日丨澳門勵駿(01680.HK)發佈公告，公司獲賣方通知，2020年9月11日，賣方及達美集團有限公司(作為要約人)已訂立購股協議，據此，要約人已有條件地同意購買待售股份(即約12.8億股，佔公司全部已發行股本約20.65%)，總代價約為13.44億港元(相當於每股待售股份1.05港元)。
賣方包括公司聯席主席兼執行董事周錦輝(涉及約9.21億股，佔公司全部已發行股本約14.84%)；All Landmark(由周錦輝全資擁有，涉及約3.2億股，佔公司全部已發行股本約5.16%)；PacBridge Capital(由Sheldon Trainor-DeGirolamo間接全資擁有，涉及4000萬股，佔公司全部已發行股本約0.65%)。要約人達美集團有限公司唯一董事為陳榮煉，該公司為一間根據英屬處女羣島法例註冊成立的有限公司，由陳榮煉實益全資擁有。
於該聯合公告日期，要約人及與其一致行動人士擁有666.1萬股的權益，佔公司的全部已發行股本約0.11%。完成時，約9.21億股、3.2億股及4000萬股股份(分別佔公司的全部已發行股本約14.84%、5.16%及0.65%)將分別自周錦輝、 All Landmark及PacBridge Capital轉讓至要約人，而要約人及與其一致行動人士(不包括契諾人及Sheldon Trainor-DeGirolamo)將擁有約12.87億股的權益，佔公司的全部已發行股本約20.75%。完成落實後，要約人將與契諾人一致行動，而要約人一致行動集團將合共擁有約41.82億股的權益，佔公司的全部已發行股本約67.44%，且要約人一致行動集團的領袖及組成將出現變動，要約人藉此將成為要約人一致行動集團的領袖。根據收購守則，待完成落實後，要約人將須就所有已發行股份(要約人一致行動集團已擁有及╱或同意將予收購者除外)提出強制性無條件現金要約。
於該聯合公告日期，公司有約62.01億股已發行股份。根據要約價每股要約股份1.05港元計算，公司的全部已發行普通股股本的價值約為65.11億港元。 以要約獲悉數接納為基準，根據要約價，要約人於要約項下應付最高現金代價將約為19億港元。要約價每股要約股份1.05港元較9月11日收市價0.96港元溢價約9.38%。
浩德融資已就要約而言獲委任為獨立財務顧問，以向獨立董事會委員會提供意見，尤其是有關要約是否屬公平合理，以及是否應根據收購守則第2.1條規定接納要約的意見。獨立董事會委員會已批准委任獨立財務顧問。
要約人擬於要約截止後維持股份於聯交所主板上市的地位。公司股份自2020年9月14日起於聯交所暫停買賣，以待刊發該聯合公告。公司已向聯交所申請於2020年9月21日起恢復股份於聯交所的買賣。
