北控水務集團(00371.HK)聯合中標南京市農村污水處理PPP項目 總投資額約20.67億元
格隆匯8月18日丨北控水務集團(00371.HK)發佈公告，於2020年8月3日，南京市六合區水務局發出中標公告，該公告陳述，北控水務(中國)投資(為公司的全資附屬公司)、南京市政院(為公司的非全資附屬公司)、長江生態環保、中化十四建、中水電八局為提升南京市六合區農村污水處理設施全覆蓋的PPP項目的中標社會資本方。於2020年8月18日，社會資本方和政府方就PPP項目簽訂PPP合同。於同日，社會資本方和六合盛棠水務就成立合營公司營運PPP項目而簽訂合營協議及公司章程。
根據PPP合同及受限PPP項目的需要，PPP項目的總投資額估算為約人民幣20.67億元。根據合營協議及公司章程，合營公司的現時註冊資本為人民幣1億元。北控水務（中國）投資及南京市政院將分別以現金注入人民幣4581.5萬元及人民幣50萬元，分別佔合營公司註冊資本的45.815%及0.5%。
根據PPP合同，合營公司各訂約方應按PPP項目的需要，在合營公司的資本要求中按比例額外再出資最多人民幣3.13億元的現金。因此，北控水務（中國）投資和南京市政院將相應地按各自於合營公司的股本權益比例額外再出資人民幣1.44億元和人民幣156.7萬元。
於2020年7月13日，社會資本方簽訂聯合體協議，約定各社會資本方需就PPP項目下的義務承擔連帶責任，因此，各社會資本方各自就其他社會資本方在PPP合同下的義務提供連帶責任擔保。若扣除六合盛棠水務對合營公司的現時及未來的註冊資本約人民幣2067萬元後，北控水務（中國）投資及南京市政院有可能就PPP項目需投入的最高總投資額約為人民幣3.93億元。
公司稱，集團作為中國最大的水務公司，積極參與到長江大保護，PPP項目進一步加強與三峽集團項目層面的合作。在這次合作中，集團將充分發揮專業的運營能力，進一步推行輕資產轉型。
