格隆汇8月14日丨碧生源(00926.HK)宣布,公司间接全资附属北京澳特舒尔保健品开发有限公司作为卖方拟向买方正嘉有限公司出售目标公司北京申惠碧源云计算科技有限公司100%股权,预估代价为4.63亿元人民币(单位下同),全部将由买方以现金支付。于完成后,目标公司将不再为公司的附属公司。

截至目前,卖方为目标公司的唯一股东,并于2020年8月向目标公司注入物业。目标公司自成立以来,除持有物业外,没有任何经营活动。除物业、与卖方向目标公司转让物业相关的可抵扣增值税约0.22亿元及现金约0.2亿元外,目标公司目前没有且在交割前不会有任何其他重大资产或负债。

该物业包括土地和房屋。土地位于北京市房山区窦店镇,使用权面积约为5.43万平方米的国有工业用地,目标公司拥有该等房屋的所有权房屋为土地上已经建成的建筑物及设施,总建筑面积约为7.72万平方米,目标公司拥有该等房屋的所有权。

买方为Gateway Real Estate Fund VI, L.P.的间接全资附属公司。Gateway Real Estate Fund VI, L.P.的主营业务为对亚太地区的房地产物业进行长期投资。据公司获提供的信息,买方的最终实益拥有人是由Gateway VI GP Limited(即 Gateway Real Estate Fund VI, L.P.的普通合伙人)牵头的机构投资者财团。Gateway Real Estate Fund VI, L.P.的管理及控制已完全委托予Gateway VI GP Limited处理。

Gateway VI GP Limited 由Gaw Capital Partners 控制,Gaw Capital Partners是一家定位独特的私募股权基金管理公司,专注于大中华地区的房地产市场和全球其他高进入门槛的市场。自其2005年成立以来,Gaw Capital Partners已募集6支以大中华区和亚太区为目标的综合型房地产私募基金,同时还在越南、美国管理增值型/机会型基金,一支亚太酒店基金,一支欧洲酒店基金,并在全球为多家亚洲机构型投资者提供独立帐户直接投资服务。

公告称,出售事项所得款项净额约为4.37亿元,其中约1.37亿元用于补充集团日常营运资金,以扩张集团现有业务并增加市场投放;约1亿元用于偿还贷款,以降低集团的财务成本;约0.5亿元用于向股东派付股息,及余下约1.5亿元用于符合集团战略的大健康产业潜在投资和/或集团的基础设施项目,惟须以实际情况及董事会不时决议为准。
