东杰智能(300486.SZ)：拟4950万元收购中集智能55%股权
格隆汇 8 月 12日丨东杰智能(300486.SZ)公布，公司全资子公司东杰智能(深圳)有限公司(“深圳东杰”)与深圳中集智能科技有限公司(“中集智能”或“标的公司”)的股东中集集团、深圳南方中集集装箱制造有限公司(“南方中集”)于2020年8月12日签署了《股权转让协议》，深圳东杰拟以自有资金人民币4181.796万元收购中集集团所持有的中集智能46.4644%股权、拟以自有资金人民币768.204万元收购南方中集所持有的中集智能8.5356%股权。合计拟以自有资金人民币4950万元收购中集智能55%股权。
深圳中集智能科技有限公司隶属于中集集团，是国家高新技术企业、国家双软认证企业。中集集团于2002年成立智能集装箱研究项目小组，于2006年发展成立智能安全研究中心，于2008年正式组建成立深圳中集智能科技有限公司。中集智能自成立以来致力于打造围绕“智能集装箱”领域的工业互联网平台型企业。在智慧工厂领域，打造“大合云”工业互联网平台(入选广东省上云上平台供应商资源池)，累计服务客户超100家，终端接入量超10万，为超过10个工业细分领域赋能，尤其在集装箱行业、道路运输车辆行业、能源化工装备与食品装备行业、登机桥行业、高端海工装备行业等有丰富案例；在智慧物流领域，打造工业互联网平台“箱知云”，中集智能为国家工信部物联网智能集装箱领域唯一标识节点所在地，实现集装箱作为全球物流装备的全链条设备与作业可视化。并形成了围绕集装箱进出境、跨关、转关、通关的智能化和便利化的一整套解决方案，目前已完成港珠澳大桥信息化等标杆性项目。同时打造与行业深度融合的物联网终端产品与系统，在工业气体、危化品和冷链运输等行业，通过物联网终端(储运卫士、冷箱卫士)和系统(罐通天下、安行天下)，通过2G/3G/4G/5G、Lora、NB-IoT、WLAN、无线传感网、低轨卫星通信、Internet等网络和通信技术实现数据通道和传输，实现产、供、销、运、用的全链条设备、作业与交易可视化。
此次交易旨在完善公司在工业互联网领域的布局，有利于双方优势资源共享，增强公司的软件实力，助力公司业务在智慧工厂和智慧物流等领域进一步延伸，同时公司将为标的公司的经营管理注入新的资源和动力，实现互利共赢，符合公司和全体股东的利益。
