中电华大科技(00085.HK)溢价41.41%向中国电子出售中电光谷(00798.HK)33.67%股份
格隆汇 7 月 30日丨中电华大科技(00085.HK)发布公告，2020年7月30日，公司全资附属CEC Media Holdings Limited作为卖方与买方订立买卖协议。根据买卖协议，买方有条件同意收购转让股份，即占中电光谷已发行每股面值0.10港元的普通股股本的33.67%，对价为17.85亿港元。
现买方中国中电国际信息服务有限公司为中国电子的全资附属公司，经与集团按公平原则进行磋商后，同意以每股转让股份0.70港元的价格收购集团所持有的转让股份，对价为17.85亿港元。每股转让股份0.70港元的价格较最后交易日在联交所所报的收市价每股转让股份0.495港元溢价41.41%。出售事项将为集团的业务重组奠定重要基础，并将有利于集团未来的业务和发展。
中电光谷(00798.HK)是一间位于开曼群岛注册成立的有限公司，其股份于联交所主板上市，中电光谷为一间投资控股公司。中电光谷集团致力于构建中国领先的产业资源共享平台，以全生命周期园区智能管理系统为基础，提供适合的科技产业园区投资、开发、招商、运营整体解决方案，为各类创新企业提供理想的办公室、科研、生产场所和服务。中电光谷为集团的联营公司，而中电光谷集团的业绩及资产和负债已按会计权益法计入集团的财务报表。待完成后，中电光谷将不再是集团的联营公司。
截至2019年12月31日，中电光谷集团在武汉、青岛、合肥、沈阳、西安、成都、上海、天津、深圳、重庆、温州、鄂州、黄石、黄冈、澄迈(海南)、东营、洛阳、长沙、咸阳等30个城市开发或运营多个产业园区。
