世紀華通(002602.SZ)：擬繼續增加對智慧雲實業的認繳出資額20.2億元
格隆匯 7 月 29日丨世紀華通(002602.SZ)公佈，2020年7月23日，一村同威與寧波梅山保税港區融訊股權投資合夥企業(有限合夥)(“寧波融訊”)簽署《權益份額轉讓協議》，由寧波融訊受讓一村同威所持有的智慧雲實業2億元出資額；同日智慧雲實業合夥人會議決議通過上述份額轉讓事項，並同意寧波融訊入夥成為有限合夥人，一村同威退出合夥企業。
根據對外投資實際需求，公司之全資子公司華通創投擬繼續增加對智慧雲實業的認繳出資金額20.2億元，將其對智慧雲實業的出資份額由69.99億元進一步增加至90.19億元，並將智慧雲實業的總認繳出資金額增加至92.2億元。
公司此次對外投資後將控制智慧雲實業並增加對智慧雲實業的認繳出資金額。智慧雲實業主要投資範圍為：數據中心、雲計算、雲存儲等IDC產業，具有快速成長潛力或創新特性的項目。此次投資之主要目的系通過智慧雲實業對上海瓏睿信息科技有限公司(“上海瓏睿”)進行投資。
公司此次擬通過全資孫公司及全資子公司控制智慧雲實業並將其作為投資平台，用於收購上海瓏睿32.44%股權並對其增資31億元。
騰訊長三角人工智能超算中心是騰訊在長三角戰略佈局的重要一環，騰訊未來將遷入兩個世界頂尖人工智能實驗室，和騰訊生態鏈的企業共建人工智能產業園。上海瓏睿是騰訊長三角人工智能超算中心項目的重要參與方，配合騰訊完成超算中心的建設和營運以及人工智能產業園企業的引進和孵化，實現上海市人工智能產業的升級和發展。上市公司作為騰訊的重要戰略合作伙伴，通過參與投資上海瓏睿股權並對其進行增資，有利於公司與重要股東方及合作方騰訊拓展合作領域和合作空間，進一步加強和釋放協同效應。
同時，基於對5G網絡、數據中心等新型基礎設施建設進度及中國5G商業化落地速度的判斷，公司看好雲遊戲在5G落地後的良好發展前景和廣闊空間，IDC作為雲計算的基礎設施，未來市場規模巨大。佈局IDC產業，為自建的雲遊戲平台提供可靠的網絡及雲計算支持、提升公司的雲遊戲技術優勢、加強對於雲遊戲平台數據的把控、提高雲遊戲平台數據的安全性成為公司未來技術發展的關鍵點，因此，公司進一步加大對IDC業務的投資佈局,有利於為公司自建的雲遊戲平台提供可靠的網絡及雲計算支持、提升公司的雲遊戲技術優勢、加強對於雲遊戲平台數據的把控、提高雲遊戲平台數據的安全性，以5G雲遊戲平台服務商和技術方案提供商為目標，真正成為雲遊戲時代的領跑者。
通過此次對外投資，公司將進入IDC領域，佈局數字化及超算中心等業務，在人工智能、大數據、雲計算、智慧城市等方面迎來新的機遇與發展，有利於公司充分整合資源。公司與上海瓏睿在運營和管理經驗以及資源要素等方面產生協同效應，有利於公司擴大綜合競爭力與影響力，為公司在數字化新基建方面奠定堅實基礎，拓寬長期發展的產業空間，並贏取新的利潤增長點，進一步提升公司的長期可持續發展能力、增強抗風險能力。
