畅由联盟01039.HK)：分海拟引入投资者，进一步丰富和深化业务营运
格隆汇 7 月 29日丨畅由联盟01039.HK)公布，于2020年7月29日，公司间接非全资附属公司分海与Sendlink订立认购协议。根据认购协议，分海有条件同意配发及发行，及Sendlink有条件同意(或促使投资者提名人)以认购价不少于3567万美元但不多于4280万美元认购不少于6107.88万股但不多于7328.77万股认购股份。
于认购事项完成后，(i)假设投资者根据认购协议认购最低6107.88万股认购股份，分海将分别由Pointsea Holdings、初始投资者合共及投资者持有经发行认购股份扩大的分海已发行股本的约44.56%、约49.77%及约5.67%；及(ii)假设投资者根据认购协议认购最高7328.77股认购股份，分海将分别由Pointsea Holdings、初始投资者合共及投资者持有经发行认购股份扩大的分海已发行股本的约44.06%、约49.21%及约6.73%。
投资者应支付予分海的认购价乃由分海与投资者以分海的投资前估值约5.93亿美元为基础按公平原则磋商后厘定，有关估值乃基于分海创新的商业模式及持续扩展的用户群；未来畅由数字积分商业生态系统联盟("畅由联盟")新合作机构的引入，将吸引更多潜在用户；未来数字积分平台提供商城及金融服务使用率的提高；畅由联盟业务模式具有拓展性，令分海未来可进一步丰富和深化业务营运。
据悉，分海为于开曼群岛注册成立的投资控股有限公司。分海及其附属公司通集团的电子平台"畅由"从事整合及赎回数字会员积分。
公告称，认购事项所得款项拟用作发展及扩充集团的"畅由"数字积分业务、分海及其附属公司的资本开支及一般营运资金。
