高銀金融(00530.HK)訂立契據以取消及撤回前協議 7月29日復牌
格隆匯 7 月 29日丨高銀金融(00530.HK)發佈公告，有關根據前協議，賣方出售物業公司全部已發行股本予前買方；根據期權契據授出關於前買方股份的認購及認沽期權；及關於管理物業公司持有的該物業發展項目的項目管理協議。賣方為公司的間接全資附屬公司及於簽署前協議時持有物業公司的全部已發行股份(即銷售股份)。物業公司的主要資產為該物業，即位於啟德第4B區4號地盤的地塊。
雖然出售於2020年7月17日完成，監於在該協議及利潤分成協議下獲提供更佳條款，前協議訂約方同意，於2020年7月27日訂立契據以取消及撤回前協議，以及由賣方支付一筆約28.72億港元的款項予前買方(當中包括退回前買方根據前協議的現金付款及取消的相關成本及開支)。同時，集團亦與相關訂約方訂立終止契據以終止期權契據及項目管理協議。
2020年7月27日，集團亦與包括買方等人士訂立以下協議：(i)賣方、買方、公司(為賣方擔保人)及潘先生(為賣方擔保人)訂立該協議，內容關於賣方向買方出售物業公司的全部已發行股份，代價約34.77億港元。7月27日簽署該協議後已完成交易。買方為獨立於前買方的第三方；及(ii)賣方、買方及物業公司訂立利潤分成協議，就該物業上發展的單位及停車場日後出售作出利潤分成安排。
應公司要求，股份自7月28日上午九時正起，在聯交所暫停買賣，以待刊發本公告。公司向聯交所提出申請，使股份自7月29日上午九時正起於聯交所恢復買賣。
