大灣區投資控股(00261.HK)擬2.2億元收購High Step Developments 19.8%股權
格隆匯7月24日丨大灣區投資控股(00261.HK)公佈,公司決定在2020年下半年完成手頭的訂單後將會終止產品貿易業務。
於2020年7月24日,買方Greater Bay Area Land Holdings Limited(公司一家間接全資擁有的附屬公司)與賣方Estate Express Limited訂立轉讓股份協議,買方同意收購佔目標公司High Step Developments Limited 19.8%股權的出售股份,代價為人民幣2.2億元。
目標公司是於2020年5月15日在英屬處女羣島註冊成立的有限公司,目標集團曾從事電訊、電子及兒童產品的製造及供應該等產品給產品貿易業務。目標集團的製造業務是賣方於2017年從公司收購回來。由於經營環境惡化,產品貿易業務的銷售在過去數年大幅下降,因而嚴重影響目標集團的生產業務,因此,目標集團於過去3年均錄得重大虧損。在此等情況下,目標集團已停止生產業務,廠房物業因而已經是空置。目標集團已決定對廠房物業進行改造開發,並已就該項目制定詳細的開發計劃方案。該項目設計為住宅、商店、停車場及學校配套的綜合發展項目,總投資估計超過人民幣30億元(約相等於33億港元),該項目是惠州市惠陽區的一項重大改造開發項目。目標集團計劃出售該項目所有開發後的物業,但將會保留學校作經常性收入的來源。
公司一直在大灣區積極尋求合適的投資機會。公司已審閲該項目的改造開發計劃方案,並認為該項目對公司是一個良好的投資機會,原因如下:(1)該項目規模甚大,是大灣區城市之一的惠州市惠陽區的一項重大改造開發項目。(2)該項目的總投資額估計為人民幣30億元(約相等於33億港元)。根據該項目的改造開發計劃,預期該項目將產生可觀的銷售收入,總金額將會超過該項目總投資額的兩倍以上。除銷售收入外,目標集團亦將會保留學校以提供經常性收入,因此,該項目的前景相當優良。(3)除代價外,公司無須向目標集團的將來營運提供額外資金,因為目標集團將會負責安排及籌措該項目所需的全部資金,即使該項目的總投資額龐大,公司的資金支出僅限於代價。(4)代價較出售股份應占目標集團的經調整資產淨值總額折讓約35%。
