高銀金融(00530.HK)出售迅富國際全部股權 7月24日起復牌
格隆匯 7 月 24日丨高銀金融(00530.HK)發佈公告，有關公司日期為2020年5月10日的公告，內容關於根據五月協議Golden Sphere建議出售Gold Flair全部已發行股本及所結欠股東貸款予五月協議買方。 Golden Sphere為公司間接全資附屬公司及Gold Flair的控股公司，而Gold Flair於五月協議時期持有物業公司的全部已發行股份。物業公司的主要資產為該物業，即位於啟德第4B區4號地盤的地塊。由於五月協議完成的先決條件未獲達成或豁免，五月協議的訂約方經互相同意後於2020年7月17日訂立終止協議。
2020年7月17日，集團亦與包括買方等人士訂立若干協議，詳情如下：(i)公司間接全資附屬公司Gold Flair(為賣方，以下亦稱為賣方)、Sino Shield Limited(買方)、公司(為賣方擔保人)及潘蘇通先生(公司董事會主席、執行董事兼控股股東，為賣方擔保人)訂立該協議，內容關於賣方向買方出售物業公司(迅富國際有限公司，公司的間接全資附屬公司)的全部已發行股份，於出售事項完成時以現金付款25億港元予賣方。出售事項完成已於2020年7月17日簽署該協議後發生。根據該協議，買方於簽署該協議後的適當時候，將向物業公司提供不多於11.402億港元的貸款，以用一筆不少於24.268億港元的新融資重續其現有銀行貸款。買方為獨立於五月協議買方的第三方；(ii)Agile World(買方的控股公司)、賣方、公司(為賣方擔保人)及潘先生(為賣方擔保人)訂立期權契據，內容關於授出(a)認購期權，賦權予賣方要求Agile World向其出售買方已發行股本；及(b)認沽期權，賦權予Agile World要求賣方向其收購買方已發行股本；及(iii)物業公司、項目管理人及潘先生(為項目管理人的擔保人)訂立項目管理協議，內容關於管理該物業上將進行的發展項目。
應公司要求，股份自2020年7月17日上午九時正起，在聯交所暫停買賣，以待刊發該公告。公司向聯交所提出申請，使股份自2020年7月24日上午九時正起於聯交所恢復買賣。
