中國石油化工股份(00386.HK)與國家管網集團簽署增發股權購買資產協議
格隆匯7月23日丨中國石油化工股份(00386.HK)公佈，2020年7月21日，公司附屬公司冠德公司與國家管網集團簽署《關於支付現金購買中石化榆濟公司股權的協議》，約定冠德公司擬將其下屬中石化榆濟公司100%股權轉讓給國家管網集團並獲得國家管網集團支付的現金對價，冠德公司所持標的資產的評估值及交易對價為32.20億元。
2020年7月23日，中國石化與國家管網集團簽署《關於增發股權購買資產的協議》，約定中國石化擬將相關油氣管道公司的股權轉讓給國家管網集團，以該等標的資產認購國家管網集團重組交易完成後471.13億元的註冊資本，國家管網集團向中國石化增發股權支付交易對價；該等標的資產的評估值及交易對價為471.13億元。
2020年7月23日，公司附屬公司中石化天然氣公司與國家管網集團簽署《關於增發股權及支付現金購買資產的協議》，約定中石化天然氣公司擬將相關油氣管道公司的股權轉讓給國家管網集團，以該等標的資產認購國家管網集團重組交易完成後228.87億元的註冊資本並取得國家管網集團支付的186.21億元現金，國家管網集團以向中石化天然氣公司增發股權及支付現金的方式支付交易對價；該等標的資產的評估值及交易對價為415.09億元。
此外，2020年7月23日，中國石化與國家管網集團簽署了《關於增發股權購買資產的協議》，中石化天然氣公司與國家管網集團簽署了《關於增發股權及支付現金購買資產的協議》，重組後的國家管網集團註冊資本擬定為人民幣5,000億元，其中，中國石化以評估值為471.13億元的標的資產認購國家管網集團重組後471.13億元註冊資本；中石化天然氣公司以評估值為415.09億元的標的資產中的228.87億元的標的資產認購國家管網集團重組後228.87億元註冊資本，股權對價外的186.21億元的交易對價，國家管網集團以現金方式向中石化天然氣公司進行支付。
集團就本次交易取得的約526.55億元現金對價，經扣除相關支出及成本後將用於以下用途：（一）堅持高質量勘探和原油效益開發，推動天然氣建產上產，拓展市場空間；加快煉油業務基地化建設，抓好產品結構優化；加快化工業務結構調整、提質升級，培育新的增長點，做大經營總量；（二）約32億元現金在扣除相關支出及成本後，用於支持中石化冠德進一步發展原油碼頭和儲存業務及補充其一般營運資金；及（三）其餘用作改善本集團財務狀況及補充一般營運資金。
本次交易的理由及裨益：（一）優化行業運營環境，助力拓展市場空間；（二）進一步聚焦主業，促進公司轉型發展；（三）降低集團未來資本支出。
