大凌集團(00211.HK)擬配售最多2300萬港元可換股債
格隆匯 7 月 16日丨大凌集團(00211.HK)公告,於2020年7月16日,公司與配售代理訂立有條件配售協議,據此,配售代理同意擔任公司配售代理,在配售協議規定條款及條件規限下,按盡力基準就可換股債券安排承配人。金額最多2300萬港元;可換股債券未償還金餘額按年利率6%計息,按一年365日作為基準計算,將每6個月或於提早贖回日支付。
假設所有可換股債券按初步兑換價全數兑換為兑換股份,1,045,454,545股兑換股份相當於公司現有已發行普通股約16%,以及公司經配發及發行兑換股份擴大後已發行普通股約14%。配售事項所得款項淨額約2277萬港元將用作集團一般營運資金。
